1. Definition of Confidential Information

For the purposes of this Agreement, "Confidential Information" shall mean any non-public, proprietary, or confidential information disclosed by the Disclosing Party, whether oral, written, or otherwise, including but not limited to, financial data, business plans, customer lists, investment strategies, and all related documentation.

2. Obligations of Receiving Party

• Maintain the confidentiality of the Confidential Information.
• Not disclose Confidential Information to any third party without prior written consent.
• Use the Confidential Information solely for the purpose of providing financial advisory services.

3. Exclusions

Confidential Information does not include information that:

• Is or becomes publicly available through no breach of this Agreement.
• Is received from a third party without breach of any obligation of confidentiality.
• Is independently developed by the Receiving Party.
• Is required to be disclosed by law or regulation.

4. Term

The obligations of confidentiality shall remain in effect for a period of years from the Effective Date.

5. Return of Information

Upon request of the Disclosing Party, the Receiving Party shall return or destroy all Confidential Information in their possession.
