For purposes of this Agreement, "Confidential Information" shall mean all non-public, proprietary or confidential information disclosed by the Disclosing Party to the Receiving Party, including but not limited to wedding plans, vendor lists, designs, budgets, guest information, proceedings, and all related data, whether disclosed orally, visually, in writing, or electronically.
The Receiving Party agrees to maintain all Confidential Information in strict confidence, not to disclose such information to any third party, and not to use such information for any purpose other than in connection with planning or organizing the wedding event, without prior written consent of the Disclosing Party.
Confidential Information does not include information that: (a) was in Receiving Party's possession before receipt from the Disclosing Party, (b) becomes publicly available through no fault of the Receiving Party, or (c) is independently developed by the Receiving Party without use of the Disclosing Party’s Confidential Information.
This Agreement and the Receiving Party's duty to hold Confidential Information in confidence remain in effect for a period of years from the date of disclosure.
Upon request of the Disclosing Party, the Receiving Party shall promptly return or destroy all materials containing Confidential Information.
This Agreement shall be governed by and construed in accordance with the laws of .
This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof, and supersedes all prior discussions, agreements, or understandings of any kind.
