This Non-Compete Agreement (“Agreement”) is made and entered into as of (the “Effective Date”) by and between:

This Agreement is entered into in recognition of the Employee’s role as a Pharmaceutical Sales Representative, and to protect the legitimate business interests of the Employer.
The Employee agrees that during their employment and for a period of months after the termination of employment for any reason, they will not, within miles of the Employer’s principal place of business or assigned sales territory, directly or indirectly engage in any business substantially similar to, or in competition with, the Employer.
The Employee agrees that during the term of employment and for the duration of the non-compete period, they will not solicit, encourage, or attempt to solicit or encourage any customer, client, or employee of the Employer to terminate their relationship with the Employer.
The Employee acknowledges their duty to maintain the confidentiality of all proprietary and confidential information obtained during their employment with the Employer.
Employee acknowledges receipt of adequate consideration for agreeing to the terms of this Non-Compete Agreement.
This Agreement shall be governed by and construed in accordance with the laws of the State of .
This Agreement represents the entire understanding between the Parties regarding its subject matter and supersedes all prior discussions or agreements.
If any provision of this Agreement is deemed unenforceable, the remaining provisions shall remain in full force and effect.
