Trademark Coexistence Agreement

This Trademark Coexistence Agreement (the "Agreement") is made and entered into as of (the "Effective Date") by and between:

Recitals

1. Definitions

1.1 "Trademarks" means the trademarks described above and any related registrations and applications.

2. Each Party agrees not to challenge the other's use or registration of their respective Trademarks so long as such use remains consistent with this Agreement.

3. Limitation of Use

1. Neither Party shall use its Trademarks in a manner that is likely to cause confusion with the other's Trademarks.

4. Infringement and Enforcement

1. Each Party shall promptly notify the other of any known infringement of the Trademarks by a third party.
2. The Parties may cooperate, if mutually agreed, in any enforcement or defense of their respective Trademarks.

5. Term and Termination

1. This Agreement shall remain in effect unless terminated by mutual written consent of both Parties or by material breach by one of the Parties.

6. Miscellaneous

1. This Agreement constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior agreements.
2. This Agreement may be amended only in writing signed by both Parties.
