1. Grant of License

Licensor hereby grants to Licensee a (exclusive/non-exclusive) license to use the following trademark(s): ("Licensed Mark"), solely in connection with the following products/services: within the following territory:

3. Quality Control

1. Licensee agrees to maintain the quality of the products/services offered under the Licensed Mark at a level substantially equivalent to that offered by Licensor.
2. Licensor shall have the right to inspect Licensee’s products/services to ensure compliance.

4. Use of Licensed Mark

Licensee shall use the Licensed Mark only in the form and manner approved by Licensor and shall not alter the Licensed Mark in any way.

5. Ownership

Licensee acknowledges that Licensor is the sole owner of the Licensed Mark and all related goodwill.

6. Termination

1. This Agreement may be terminated by either party upon days' written notice if the other party breaches any term of this Agreement and fails to cure such breach.
2. Upon termination, Licensee shall immediately discontinue all use of the Licensed Mark.

7. Miscellaneous

1. This Agreement constitutes the entire agreement between the parties regarding its subject matter.
