Commission-Based Sales Representative Agreement

This Commission-Based Sales Representative Agreement ("Agreement") is made and entered into as of by and between ("Company") and ("Sales Representative").

1. Appointment

The Company hereby appoints Sales Representative as a non-exclusive sales representative to sell the Company's products and/or services ("Products") as set forth herein.

2. Term

This Agreement shall commence on the date above and shall continue until terminated by either party as provided in this Agreement.

3. Duties of Sales Representative

• Promote and sell the Products in the designated territory.
• Act professionally and ethically at all times.
• Abide by all applicable laws and Company policies.
• Report sales activity as requested by the Company.

4. Commission

The Sales Representative shall be entitled to a commission of % on the net sales of Products made by the Sales Representative and accepted by the Company.

Commissions will be paid within days after receipt of payment from the customer.

5. Independent Contractor

Sales Representative is an independent contractor and not an employee, partner, or agent of the Company.

6. Confidentiality

Sales Representative agrees to keep confidential all proprietary information of the Company both during and after the term of this Agreement.

7. Termination

Either party may terminate this Agreement at any time upon days' written notice to the other party.

8. Miscellaneous

• This Agreement constitutes the entire agreement between the parties.
• This Agreement may be amended only in writing signed by both parties.
• This Agreement shall be governed by the laws of .
