Affiliate Brand Advertising Agreement

This Affiliate Brand Advertising Agreement ("Agreement") is entered into as of by and between:

1. Purpose

The Affiliate agrees to promote the Advertiser's brand and products/services via advertising methods and channels as detailed in this Agreement.

2. Term

4. Affiliate Obligations

1. Promote the Advertiser's brand using approved materials and within agreed channels.
2. Comply with all applicable laws, regulations, and guidelines.
3. Accurately represent the Advertiser and refrain from making false or misleading claims.

5. Advertiser Obligations

1. Provide necessary creatives, links, and instructions.
2. Track Affiliate performance and report on conversions or leads.
3. Make timely commission payments based on agreed terms.

6. Intellectual Property

All intellectual property, trademarks, and copyrighted material provided by the Advertiser remain the sole property of the Advertiser. The Affiliate may use such materials solely for the purposes set forth in this Agreement.

7. Termination

Either party may terminate this Agreement with written notice. Upon termination, the Affiliate will cease all promotional activities related to the Advertiser.

8. Miscellaneous

1. This Agreement constitutes the entire understanding between the parties.
2. No amendment shall be valid unless made in writing and signed by both parties.
3. This Agreement shall be governed by the laws of .
