The Contractor hereby assigns and transfers to the Company all rights, title, and interest in and to any and all copyrightable works created, developed, or conceived in connection with the services provided under this agreement, including all related intellectual property rights.
The Contractor represents and warrants that the works are original and do not infringe upon any copyright, trademark, or intellectual property rights of any third party.
The Contractor agrees to execute, at the Company's expense, any documents and to take any actions necessary to perfect the Company's rights in the copyrighted works.
This agreement constitutes the entire understanding between the parties and supersedes all prior negotiations or agreements, whether written or oral, concerning its subject matter.
