Whereas, the Board of Directors of (the "Company") has reviewed the annual financial statements for the financial year ended ;

Resolved that, the Board hereby approves the annual financial statements for the financial year ended as presented by management and authorizes the Chairman and/or any director to sign the financial statements and take all necessary actions for filing and compliance purposes.

FURTHER RESOLVED that, the Board authorizes to submit the approved financial statements to the appropriate regulatory authorities as required by law.
