Subscription Box Curator Partnership Agreement

1. Parties

This Subscription Box Curator Partnership Agreement ("Agreement") is entered into as of ("Effective Date") by and between:

2. Purpose

The purpose of this Agreement is to establish a partnership between the Curator and the Partner to collaborate in curating and delivering subscription boxes containing products provided by the Partner.

3. Term

This Agreement shall commence on the Effective Date and shall continue until terminated by either party in accordance with Section 10.

4. Partner Responsibilities

• Provide agreed-upon products in quantities and by deadlines as outlined in Exhibit A.
• Ensure all products meet mutually agreed quality standards.
• Comply with all applicable laws and regulations regarding product safety and labeling.

5. Curator Responsibilities

• Curate and assemble subscription boxes including the Partner's products as agreed.
• Promote and distribute the boxes to subscribers.
• Provide Partner with reports as outlined in Exhibit B.

7. Intellectual Property

Each party retains all rights, title, and interest in and to its intellectual property. A limited license to use logos, trademarks, and images may be granted solely as required for fulfillment of this Agreement.

8. Confidentiality

Both parties agree to maintain confidentiality regarding any proprietary or non-public information obtained in connection with this Agreement.

9. Indemnification

Each party agrees to indemnify and hold harmless the other party from any claims, losses, or damages arising out of a breach of this Agreement or violation of law.

10. Termination

Either party may terminate this Agreement with days’ written notice. Upon termination, outstanding obligations must be fulfilled and all confidential materials returned or destroyed.

11. Miscellaneous

• This Agreement constitutes the entire understanding between the parties.
• All changes must be made in writing and signed by both parties.
