Influencer Campaign Non-Disclosure Agreement (NDA)

This Non-Disclosure Agreement (“Agreement”) is entered into as of (the “Effective Date”), by and between:

1. Definition of Confidential Information

For purposes of this Agreement, “Confidential Information” means all non-public information disclosed by the Disclosing Party to the Influencer, including but not limited to: campaign details, marketing plans, products, pricing, client data, and any other proprietary information.

2. Obligations of Receiving Party

  1. Use Confidential Information only for the purpose of participating in the Disclosing Party’s influencer campaign.
  2. Not disclose any Confidential Information to any third party without the prior written consent of the Disclosing Party.
  3. Take all reasonable precautions to protect the confidentiality of the information.

3. Exclusions

  1. Information that is or becomes public knowledge through no fault of the Influencer.
  2. Information already in possession of the Influencer before receipt from the Disclosing Party.
  3. Information independently developed without reference to Confidential Information.
  4. Information required to be disclosed by law or court order.

4. Duration

This Agreement and the confidentiality obligations herein shall remain in effect for years from the Effective Date.

5. Return of Materials

Upon request, the Influencer agrees to promptly return or destroy all materials containing Confidential Information.

6. Remedies

The Disclosing Party is entitled to seek injunctive relief and any other remedies available at law in the event of breach of this Agreement.

7. Miscellaneous

  1. This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof.
  2. No amendment or modification of this Agreement shall be valid unless made in writing and signed by both parties.
  3. This Agreement shall be governed by the laws of .
