1. Definition of Confidential Information
"Confidential Information" refers to any data or information disclosed by either party to the other, whether orally or in writing, relating to research collaboration, which is not generally known to the public.
2. Obligations
The Receiving Party agrees to maintain the confidentiality of the Confidential Information and not to disclose it to any third party without the prior written consent of the Disclosing Party.
3. Exclusions
This Agreement does not apply to information that:
- Was in the public domain at the time of disclosure;
- Becomes publicly available through no fault of the Receiving Party;
- Is rightfully received from a third party without restriction on disclosure;
- Is independently developed by the Receiving Party without reference to Confidential Information.
4. Terms
This Agreement remains in effect for a period of
years from the date of disclosure or until terminated in writing by both parties.
5. Return or Destruction
Upon termination of this Agreement, the Receiving Party shall return or destroy all Confidential Information in its possession.
