Freelance Confidentiality Agreement

This Freelance Confidentiality Agreement (“Agreement”) is entered into as of by and between:

1. Definition of Confidential Information

For purposes of this Agreement, “Confidential Information” refers to all non-public information disclosed by one party to the other, whether in written, oral, or electronic form, including but not limited to business secrets, data, materials, and technical information.

2. Obligations

• The Freelancer agrees not to disclose or use any Confidential Information for any purpose outside the scope of this Agreement.
• Reasonable means will be taken to protect the confidentiality of such information.

3. Exclusions

• Information that is already public or obtained lawfully from a third party without breach of this Agreement is not considered confidential.

4. Term

This Agreement is effective as of the date first written above and shall continue until all Confidential Information no longer qualifies as confidential, or until terminated in writing by both parties.

5. Return of Materials

Upon Client’s request, Freelancer will promptly return or destroy all materials containing Confidential Information.
