Interviewee Non-Disclosure Agreement

This Non-Disclosure Agreement (“Agreement”) is made and entered into on

1. Definition of Confidential Information
For the purpose of this Agreement, "Confidential Information" includes all information disclosed by the Company to the Interviewee during the interview process, whether in writing, orally, or by inspection of tangible objects.
2. Obligations of Interviewee
  1. Interviewee shall not disclose any Confidential Information to any third party.
  2. Interviewee shall not use any Confidential Information for any purpose other than evaluating a potential employment relationship with the Company.
  3. Interviewee shall take reasonable measures to protect the secrecy of and avoid disclosure or use of Confidential Information.
3. Exclusions from Confidential Information
  1. Information which is or becomes publicly known through no breach of this Agreement by Interviewee.
  2. Information received from a third party without breach of any obligation of confidentiality.
  3. Information independently developed by Interviewee without reference to or reliance upon Confidential Information.
4. Return of Materials
Upon request by the Company, Interviewee shall promptly return or destroy all materials containing Confidential Information.
5. Term
This Agreement and Interviewee’s duty to hold Confidential Information in confidence remain in effect for a period of
years from the Effective Date.
