Employee Non-Disclosure Agreement (NDA)

1. Confidential Information

"Confidential Information" refers to any data or information relating to the business of the Company which would reasonably be considered to be proprietary.

2. Obligations of Employee

The Employee agrees not to disclose, copy, or allow access to any Confidential Information to any third party, except as authorized in writing by the Company.

3. Exclusions

Confidential Information does not include information that is, or becomes, publicly known without breach of this Agreement, or is received from a third party without breach of any obligation of confidentiality.

4. Term

This Agreement and the Employee’s duty to hold Confidential Information in confidence remain in effect both during and after the termination of employment.

5. Return of Materials

Upon termination of employment, the Employee agrees to promptly return all materials containing Confidential Information.
