Mutual Non-Disclosure Agreement (NDA)

2. Purpose

The parties intend to exchange certain confidential information for the purpose of participating in pitch competitions.

3. Definition of Confidential Information

"Confidential Information" means all non-public, proprietary, or sensitive information disclosed by either party, whether in written, oral, or other form, and includes but is not limited to business plans, strategies, financials, technical information, and any materials related to the startup or competition.

4. Obligations

1. Each party agrees to maintain the confidentiality of the other party's Confidential Information.
2. Information will not be disclosed to any third party without prior written consent from the disclosing party.
3. Confidential Information will not be used for purposes other than the intended purpose as stated above.

5. Exclusions

This Agreement does not cover information that:

• Is or becomes publicly available through no breach of this Agreement;
• Was known to the receiving party prior to disclosure;
• Is received from a third party without restriction;
• Is independently developed by the receiving party without reference to Confidential Information.

6. Term

This Agreement shall remain in effect for a period of years from the date above, unless earlier terminated in writing by either party. The confidentiality obligations will survive the termination of this Agreement.

7. Return of Materials

Upon request, all Confidential Information and copies thereof shall be returned or destroyed.

8. No License

Nothing in this Agreement grants any license or right to use any Confidential Information except for the limited purpose set forth above.

9. Governing Law

This Agreement shall be governed by the laws of .
