Non-Disclosure Agreement (NDA)

For Freelance Social Media Managers

This Non-Disclosure Agreement ("Agreement") is entered into as of the date set forth below by and between:

Freelance Social Media Manager:

1. Definition of Confidential Information

For purposes of this Agreement, "Confidential Information" means any and all non-public, proprietary, or confidential information, including but not limited to, marketing plans, strategies, client lists, business operations, content calendars, unpublished posts, account passwords, analytics data, and any other information disclosed by the Client to the Social Media Manager, whether oral, written, electronic, or otherwise.

2. Obligations of Non-Disclosure

The Freelance Social Media Manager agrees to:

• Keep all Confidential Information strictly confidential and not disclose it to any third party without the prior written consent of the Client.
• Use Confidential Information solely for the purpose of providing social media management services to the Client.
• Take reasonable steps to protect the confidentiality and prevent unauthorized use or disclosure of the Confidential Information.

3. Exclusions

Confidential Information does not include information that:

• Was known to the public at the time of disclosure or becomes publicly known through no fault of the Social Media Manager.
• Is received from a third party without breach of any obligation to the Client.
• Is independently developed by the Social Media Manager without use of or reference to the Confidential Information.
• Is disclosed with the Client's prior written consent.

4. Term

This Agreement shall be effective as of the date signed and shall continue for a period of years after the termination of the social media management services, unless otherwise terminated by mutual written consent.

5. Return of Materials

Upon termination of services, the Freelance Social Media Manager shall promptly return or destroy all Confidential Information and all copies thereof at the request of the Client.

This Agreement shall be governed by and construed in accordance with the laws of .
