Institutional Research Confidentiality Agreement
This Confidentiality Agreement ("Agreement") is entered into between
("Researcher") and
("Institution").
Purpose
The purpose of this Agreement is to protect the confidentiality and integrity of sensitive and proprietary information obtained or generated during the course of research activities at the Institution.
Definition of Confidential Information
For purposes of this Agreement, "Confidential Information" includes, but is not limited to:
- Research data, results, and unpublished findings
- Personal information and records
- Proprietary methodologies, software, and materials
- Any other information designated as confidential by the Institution
Obligations of the Researcher
- To use Confidential Information solely for research purposes authorized by the Institution
- Not to disclose Confidential Information to any third party without prior written consent from the Institution
- To take appropriate security measures to protect Confidential Information from unauthorized access or disclosure
- To promptly report any breach of confidentiality to the Institution
Duration
The Researcher’s obligations under this Agreement shall remain in effect during and after the period of research, unless and until the Confidential Information becomes publicly available through no fault of the Researcher.
Return of Information
Upon completion or termination of research activities, the Researcher agrees to return or destroy all Confidential Information as directed by the Institution.
General Provisions
- This Agreement constitutes the entire understanding between the parties with respect to the subject matter herein.
- No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties.
