"Confidential Information" refers to all data, materials, and other information disclosed or made available in any form to the Recipient by the Disclosing Party, including but not limited to:

• Methodologies
• Research results and findings
• Any associated documentation or materials

3. Obligations of Recipient

2. Not to disclose any portion of the Confidential Information to any third party without prior written consent of the Disclosing Party.

4. Exclusions

This Agreement does not apply to information that:

• Is already known by the Recipient at the time of disclosure
• Becomes publicly available through no breach of this Agreement
• Is lawfully received from a third party without any obligation of confidentiality
• Is independently developed by the Recipient without reference to the Confidential Information

5. Term

This Agreement shall remain in effect for a period of years from the date of its execution, unless earlier terminated in writing by the Disclosing Party.
