Terms & Conditions

• The Material will be used only for the Purpose described above.
• The Material will not be transferred to any third party without the written consent of the Provider Institution.
• The Recipient agrees to handle the Material in accordance with all applicable laws and regulations.
• No rights or licenses are granted except as expressly set forth in this Agreement.
• Both parties will maintain confidentiality of any proprietary information exchanged.

Intellectual Property & Publication

• Each party retains all rights to its intellectual property.
• Results generated will be shared and publication will be subject to mutual agreement.

Term & Termination

• This Agreement shall remain in force until terminated by either party upon written notice.
• Upon termination, unused Material will be returned or destroyed as instructed by Provider.

Miscellaneous

• This Agreement constitutes the entire understanding between the parties.
• Any amendment or modification must be in writing and signed by both parties.
