Supplier and Distributor may each be referred to herein as a "Party" and collectively as the "Parties."

1. Purpose

The Supplier agrees to sell, and the Distributor agrees to purchase, the telecom accessories listed in Exhibit A attached hereto (the "Products").

3. Orders and Delivery

1. All purchase orders shall be submitted by the Distributor in writing.
2. Delivery terms shall be as set forth in each accepted purchase order.

4. Price and Payment

1. Product prices are set forth in Exhibit A and are subject to change only upon written notice.
2. Payment terms are days from the date of invoice, unless otherwise agreed in writing.

5. Term and Termination

1. The term of this Agreement shall commence on the Effective Date and continue for a period of years, unless terminated earlier in accordance with this Section.
