Nonprofit Board Member Confidentiality Form

As a member of the Board of Directors of ("the Organization"), I recognize that I owe a fiduciary duty to the Organization and understand that I may receive, directly or indirectly, confidential or proprietary information. I commit to maintain the confidentiality of all such information both during and after my tenure on the Board, and will not disclose it except as authorized by the Organization or required by law.

Agreement

• I will not use confidential information for personal benefit or for the benefit of any person or entity other than the Organization.
• I will not disclose, copy, or reproduce confidential information except as permitted by the Organization.
• I understand that the obligation to maintain the confidentiality of this information continues beyond my service on the Board.
