Graduate Thesis Confidentiality Agreement

This Confidentiality Agreement ("Agreement") is entered into by and between:

1. Definition of Confidential Information

For the purposes of this Agreement, "Confidential Information" shall mean any and all information disclosed by the Author relating to the graduate thesis identified above, including but not limited to data, results, methods, discussions, and conclusions which are not generally known to the public.

2. Purpose of Disclosure

The Confidential Information will be disclosed solely for the purpose of reviewing and evaluating the above-mentioned thesis.

3. Obligations of Receiving Party

• Not to disclose Confidential Information to any third party without prior written consent of the Author.
• To use the Confidential Information only for the stated purpose.
• To take all reasonable measures to protect the confidentiality of the information.

4. Exclusions

This Agreement does not apply to information that:

• Is already known to the receiving party at the time of disclosure;
• Becomes publicly available through no fault of the receiving party;
• Is received from a third party without breach of any obligation of confidentiality.

5. Duration

The obligations of confidentiality shall survive for a period of years from the date of this Agreement.
