2. Representations and Warranties

2. The patent(s) are free and clear of any liens, claims, or encumbrances.
3. Assignor has not previously assigned, transferred, licensed, or encumbered any rights in the patent(s).

3. Further Assurances

The Assignor agrees to execute and deliver any documents and to perform any actions reasonably necessary to effectuate the assignment and to secure the rights of the Assignee in the patent(s).
