E-commerce Product Image License Agreement

This E-commerce Product Image License Agreement ("Agreement") is entered into as of ("Effective Date") by and between:

1. Grant of License

The Licensor hereby grants to the Licensee a non-exclusive, non-transferable license to use the following product images:

for use on the Licensee's e-commerce platforms.

2. Restrictions

• Images may not be sublicensed, resold, or otherwise redistributed.
• Images must only be used for the promotion and sale of the products for which they were provided.
• No modifications may be made to the images without prior written consent from the Licensor.

3. Ownership

All rights, title, and interest in the images remain with the Licensor. No ownership rights are transferred under this Agreement.

4. Term and Termination

This Agreement is effective as of the Effective Date and shall remain in force until terminated by either party with written notice.

5. Indemnification

The Licensee agrees to indemnify and hold harmless the Licensor from any claims arising from improper use of the images.

6. Miscellaneous

This Agreement constitutes the entire understanding between the parties with respect to its subject matter and supersedes all prior agreements.
