1. Use of Material: Recipient agrees to use the Material solely for the Purpose described above and not for any commercial purpose.
2. Non-Transfer: Recipient shall not transfer the Material to any third party without Provider’s prior written consent.
3. Confidentiality: Both parties agree to keep confidential any proprietary information exchanged under this Agreement.
4. Publication: Any publication resulting from the use of Material shall appropriately acknowledge the Provider and both parties shall discuss authorship as per academic norms.
5. Intellectual Property: Any new inventions developed from the collaboration shall be jointly discussed and managed by both parties.
6. Return/Disposal of Material: Upon completion of the Purpose or termination of this Agreement, Recipient will return or destroy unused Material as directed by Provider.

4. Term and Termination

This Agreement shall commence on the Effective Date and continue until unless terminated earlier by either party with written notice.

5. Miscellaneous

• This Agreement constitutes the entire understanding between the parties with respect to the Material and supersedes all prior agreements.
• No amendment or modification of this Agreement shall be valid unless made in writing and signed by both parties.
