Vendor Data Protection & Confidentiality Acknowledgement
This Acknowledgement is made in connection with the business relationship between
the Vendor and ("Company").
1. Purpose
To confirm the Vendor’s agreement to protect the confidentiality, integrity, and security of Company data that may be accessed, processed, or stored in the course of providing goods or services.
2. Data Protection & Confidentiality Obligations
The Vendor agrees to comply with all applicable data protection laws, regulations, and Company policies regarding personal or confidential information.
The Vendor shall not disclose, share, or use any Company data for purposes other than those expressly authorized.
The Vendor must ensure that employees, contractors, or agents with access to Company data are bound by equivalent confidentiality obligations.
The Vendor must promptly report any actual or suspected unauthorized access, use, or disclosure of Company data.
On termination of services, the Vendor will return or securely destroy all confidential and personal data unless otherwise agreed in writing.
3. Duration
These obligations shall remain in effect during the term of the Vendor’s engagement and continue after its termination with respect to all confidential information.
4. Acknowledgement
The undersigned confirms they have read, understood, and agree to comply with the above data protection and confidentiality obligations.
