This Confidentiality Agreement ("Agreement") is entered into between:
("Recipient") and
("Disclosing Party").
1. Definition of Confidential Information
The term "Confidential Information" refers to any data or information, oral or written, that is not generally known to the public and that is disclosed by the Disclosing Party to the Recipient.
2. Obligations of Recipient
The Recipient agrees to maintain the confidentiality of the Confidential Information and to not disclose it to any third party, except as authorized by the Disclosing Party.
3. Acknowledgment
By signing below, the Recipient acknowledges and agrees to the terms and conditions of this Confidentiality Agreement.
