Non-Disclosure Agreement (NDA) for Medical Professionals

This Non-Disclosure Agreement ("Agreement") is entered into on by and between:

1. Definition of Confidential Information

For purposes of this Agreement, "Confidential Information" shall include all patient information, medical records, treatment information, personal data, and any other information disclosed in any format by the Disclosing Party to the Receiving Party.

2. Obligations of Receiving Party

• Maintain confidentiality of all Confidential Information.
• Not disclose Confidential Information to any third party without prior written consent.
• Use Confidential Information solely for the purpose of providing medical services.
• Take appropriate measures to prevent unauthorized disclosure.

3. Exclusions

Confidential Information does not include information that is:

• Publicly known at the time of disclosure.
• Independently developed by the Receiving Party.
• Disclosed pursuant to legal requirement after notice to the Disclosing Party.

4. Term

This Agreement shall remain in effect for a period of years from the date above, or until Confidential Information ceases to be confidential.

5. Return of Materials

Upon termination of this Agreement or upon request, Receiving Party shall return or destroy all Confidential Information, including copies and derivatives.
