1. Definition of Confidential Information

For purposes of this Agreement, "Confidential Information" includes all information disclosed by the Client to the Freelancer, whether written, oral, or electronic, that is not generally known to the public.

2. Obligations of the Freelancer

The Freelancer agrees to:

• Maintain the confidentiality of the Confidential Information;
• Not disclose any Confidential Information to any third party;
• Use Confidential Information solely for the purpose of performing services for the Client.

3. Exclusions

Confidential Information does not include information that:

1. Is or becomes publicly known;
2. Is received from a third party without breach of any obligation;
3. Is independently developed by the Freelancer.

4. Term

This Agreement shall commence on the date first written above and continue for a period of years unless otherwise terminated by mutual agreement in writing.

5. Return of Materials

Upon termination of this Agreement or at the request of the Client, the Freelancer shall return or destroy all Confidential Information.
