4. Independent Contractor

The Contractor is engaged as an independent contractor. Nothing in this Agreement shall be construed as creating an employer-employee relationship, a partnership, or a joint venture between the Parties.

The Contractor agrees not to disclose or use any confidential information belonging to the Client except as required to perform the services under this Agreement.

6. Intellectual Property

All intellectual property and related materials developed in connection with the performance of the services shall be the property of the Client.

7. Termination

Either party may terminate this Agreement upon written notice to the other party.

On termination, all unpaid fees for services completed up to the termination date shall become immediately payable.

8. General Provisions

• This Agreement contains the entire understanding of the parties.
• No amendment shall be effective unless in writing and signed by both parties.
• If any provision is found invalid or unenforceable, the remainder shall continue in effect.
