1. Definition of Confidential Information
For purposes of this Agreement, "Confidential Information" includes all written, electronic, or oral information provided by the Disclosing Party to the Freelance Writer that is not publicly available.

2. Obligations of Receiving Party
The Freelance Writer agrees to maintain the confidentiality of the Confidential Information and not to disclose, publish, or otherwise make available such information to any third party without prior written consent from the Disclosing Party.

3. Exclusions
Confidential Information does not include information that is already known to the public, was lawfully obtained by the Freelance Writer prior to disclosure, or is required by law to be disclosed.

4. Term
This Agreement will remain in effect for a period of years from the date of signing.

5. Return of Materials
Upon request, the Freelance Writer will return or destroy all materials containing Confidential Information.

6. Governing Law
