This Non-Disclosure Agreement ("Agreement") is made and entered into as of __________, by and between __________ ("Company") and __________ ("Employee").
For purposes of this Agreement, "Confidential Information" includes all non-public information or material disclosed by the Company to the Employee, whether in oral, written, or other tangible forms.
The Employee agrees to maintain the confidentiality of the Confidential Information and not to disclose or use any such information for purposes other than as required in the performance of their duties for the Company.
Confidential Information does not include information that is publicly known through no fault of the Employee, is lawfully received from a third party, or is independently developed by the Employee without reference to the Company’s Confidential Information.
This Agreement and the Employee’s duty to hold Confidential Information in confidence remain in effect during the Employee’s employment and for __________ years afterward.
Upon termination of employment or upon request by the Company, the Employee will return all documents and other materials containing Confidential Information.
