Online Course Affiliate Agreement

This Affiliate Agreement (“Agreement”) is made and entered into on (“Effective Date”), by and between: (“Company”), and (“Affiliate”).

1. Purpose

The Company agrees to engage the Affiliate for the purpose of promoting and marketing the Company's online courses, subject to the terms of this Agreement.

2. Affiliate Obligations

• The Affiliate will use reasonable efforts to promote the Company's courses through lawful marketing means.
• The Affiliate will not make any false or misleading claims about the Company or its products.
• The Affiliate will comply with all applicable laws and regulations, including advertising and marketing laws.

3. Commission

The Company agrees to pay the Affiliate a commission for each sale made through the Affiliate’s unique referral link, as outlined below:

4. Term & Termination

• This Agreement will commence on the Effective Date and remain in effect until terminated by either party with written notice.
• The Company reserves the right to terminate this Agreement immediately in case of breach by the Affiliate.

5. Intellectual Property

• The Company grants the Affiliate a non-exclusive, non-transferable license to use the Company’s marketing materials for the purpose of promoting the courses.
• All intellectual property rights remain with the Company.

6. Limitation of Liability

The Company shall not be liable for any indirect, special, or consequential damages arising out of or in connection with this Agreement.

7. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements related to the subject matter.

This Agreement shall be governed by the laws of .
