1. Appointment

The Principal appoints the Agent to act as its exclusive/non-exclusive export sales agent for the products and in the territory listed below.

2. Agent Duties

1. Promote and sell the products in the territory.
2. Comply with all applicable laws and regulations.
3. Keep the Principal informed of market conditions.
4. Provide regular sales reports to the Principal.

3. Commission

The Principal agrees to pay the Agent a commission on all net sales generated by the Agent in the Territory as follows:

Commission shall be calculated based on net invoice price, excluding shipping, insurance, duties, and taxes.

4. Payment Terms

• Commissions shall be paid within days after receipt of payment from the customer.
• A detailed statement of sales and commission calculations shall accompany each payment.

• Either party may terminate immediately in case of breach.
