Freelance Sales Agent Commission Contract

1. Engagement

The Company hereby engages the Sales Agent to solicit sales of the Company's products/services on a freelance basis, subject to the terms and conditions of this Agreement.

2. Term

This Agreement shall commence on the Effective Date and shall continue until , unless terminated earlier in accordance with Section 8.

3. Duties of Sales Agent

• Promote and sell the Company's products/services.
• Act in a professional manner and in the Company's best interest.
• Comply with all applicable laws and regulations.

4. Commission

The Sales Agent shall be paid a commission of % on collected net revenue from each sale generated by the Agent.

• Commission will be paid within days after receipt of payment from the customer.
• No commission is due on uncollected or refunded sales.

5. Independent Contractor Status

The Sales Agent is an independent contractor and not an employee, partner, or legal representative of the Company.

6. Confidentiality

The Sales Agent shall maintain the confidentiality of all proprietary information received from the Company and shall not disclose such information to any third party without prior written consent.

7. Non-Exclusivity

Nothing in this Agreement shall prevent the Company or the Sales Agent from entering into similar agreements with other parties.

8. Termination

This Agreement may be terminated by either party with days written notice. Upon termination, the Agent shall be entitled only to commissions on sales closed prior to the termination date.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of .
