1. Definition of Confidential Information

The term "Confidential Information" means any information, technical data, or know-how, including but not limited to, that which relates to research, products, software, services, development, inventions, processes, designs, drawings, engineering, marketing, business plans, finances, or other business information disclosed by the Disclosing Party to the Receiving Party, either directly or indirectly, in writing, orally or by observation.

2. Obligations of Receiving Party

Receiving Party agrees to hold and maintain the Confidential Information in strictest confidence.
Receiving Party agrees not to copy, reproduce, or otherwise disclose the Confidential Information to anyone except as permitted in this Agreement.
Receiving Party will use the Confidential Information solely for the purpose of performing freelance services.

3. Exclusions from Confidential Information

Confidential Information does not include information that:

Is or becomes publicly known through no breach of this Agreement;
Is received from a third party without breach of any obligation of confidentiality;
Is independently developed by the Receiving Party without use of or reference to Confidential Information;
Is disclosed under operation of law or valid court order.

4. Term

This Agreement shall remain in effect for a period of years from the Effective Date.

5. Return of Materials

Upon request by the Disclosing Party, the Receiving Party will promptly return all documents and other tangible materials containing or representing Confidential Information.

6. No License

Nothing in this Agreement grants the Receiving Party any rights in or to the Confidential Information except as expressly set forth herein.

7. Governing Law

This Agreement shall be governed in accordance with the laws of .
