Non-Disclosure Agreement (NDA)
This Non-Disclosure Agreement ("Agreement") is entered into as of

1. Definition of Confidential Information
"Confidential Information" means all information disclosed by the Disclosing Party to the Receiving Party, in any form, that relates to the independent game development project,
including but not limited to concepts, artwork, source code, technical data, ideas, trade secrets, business plans, and other proprietary information.
2. Obligations of Receiving Party
- Not disclose Confidential Information to any third party without written consent of the Disclosing Party.
- Use Confidential Information solely to evaluate or participate in the game development project.
- Take reasonable measures to protect the confidentiality of the information.
3. Exclusions
This Agreement does not apply to information that:
- Is or becomes public through no fault of the Receiving Party;
- Was lawfully obtained by the Receiving Party from another source;
- Is independently developed by the Receiving Party without use of Confidential Information;
- Is disclosed with written permission of the Disclosing Party.
4. Term
The obligations under this Agreement remain in effect for
years from the Effective Date.
5. Return of Materials
Upon request, all materials containing Confidential Information shall be returned or destroyed by the Receiving Party.
6. No License
Nothing in this Agreement grants the Receiving Party any rights to or under any intellectual property of the Disclosing Party.
