E-commerce Product Reviewer Non-Disclosure Agreement (NDA)
This Non-Disclosure Agreement (“Agreement”) is entered into by and between:

1. Definition of Confidential Information
“Confidential Information” refers to all information or material that has or could have commercial value or other utility in the business in which Disclosing Party is engaged, and that is disclosed to the Reviewer, including but not limited to:
- Product samples, specifications, features, designs
- Business or marketing plans
- Trade secrets and proprietary information
- Other non-public information concerning the products under review
2. Obligations of the Reviewer
- To hold and maintain the Confidential Information in strictest confidence
- Not to disclose, publish, or reveal any Confidential Information to any person or entity
- Not to use the Confidential Information for any purpose except to fulfill product reviewing duties as authorized by the Disclosing Party
3. Exclusions from Confidential Information
- Information already known or obtained legally by the Reviewer without restriction
- Information publicly available through no wrongful act of the Reviewer
- Information approved for release by the Disclosing Party in writing
4. Term
This Agreement and the Reviewer’s duty to hold Confidential Information in confidence remain in effect for
years from the Effective Date or until otherwise agreed in writing.
5. Return of Materials
Upon request, the Reviewer shall return or destroy all physical and digital materials related to the Confidential Information.
