Medical Research Study Non-Disclosure Agreement (NDA)

This Non-Disclosure Agreement (“Agreement”) is entered into as of by and between:

Collectively referred to as "the Parties."

1. Definition of Confidential Information

“Confidential Information” refers to any data or information disclosed by the Disclosing Party to the Receiving Party (in any form, whether oral, written, electronic, or otherwise) related to the medical research study, including but not limited to: data, results, protocols, materials, participant information, methodologies, trade secrets, reports, study materials, analyses, and any other information the Receiving Party knows or reasonably should know is confidential.

2. Obligations of Receiving Party

The Receiving Party agrees to:

• Maintain all Confidential Information in strict confidence
• Not disclose Confidential Information to any third party without prior written consent
• Use the Confidential Information solely in connection with the collaboration or permitted purpose described herein
• Take reasonable steps to safeguard and prevent unauthorized use or disclosure

3. Exclusions

This Agreement does not cover information that:

• Is or becomes publicly available through no fault of the Receiving Party
• Is lawfully obtained by the Receiving Party from a third party without breach of any obligation
• Is independently developed by the Receiving Party without reference to Confidential Information
• Is required to be disclosed by law or court order (with prompt notice to the Disclosing Party where possible)

4. Term

This Agreement shall commence on the Effective Date and shall continue for a period of years, or until terminated by mutual written agreement.

5. Return or Destruction of Information

Upon written request, the Receiving Party shall promptly return or destroy all Confidential Information and all copies thereof.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of .

7. Miscellaneous

This Agreement constitutes the entire agreement between the Parties relating to the subject matter. No amendment shall be valid unless in writing and signed by both Parties.
