Influencer Brand Collaboration Non-Disclosure Agreement (NDA)

1. Definition of Confidential Information

"Confidential Information" means any information provided or disclosed by either party to the other, whether in written, oral, electronic, or any other form, that is not publicly available and is designated as confidential or would reasonably be understood to be confidential by the nature of the information and the circumstances of disclosure.

Confidential Information includes, but is not limited to: business plans, marketing strategies, product information, financial data, customer lists, and collaboration details.

2. Obligations of Recipient

• To hold and maintain Confidential Information in strictest confidence.
• To use the Confidential Information solely for the purpose of the brand collaboration.
• To not disclose, distribute, or disseminate Confidential Information to any third party without prior written consent of the Discloser.

3. Exclusions

The obligations of this Agreement do not apply to information that:

• Was already known to the Recipient before disclosure.
• Is or becomes publicly available through no fault of the Recipient.
• Is disclosed by a third party lawfully.
• Is independently developed by the Recipient without reference to Confidential Information.

4. Term

This Agreement and Recipient’s duty to hold Confidential Information in confidence shall remain in effect for years from the date of disclosure.

5. Return of Materials

Upon termination or upon request, Recipient shall promptly return or destroy all materials containing Confidential Information.

6. No License

Nothing in this Agreement grants any rights to the Recipient under any patent, copyright, or trademark now or in the future.

7. Governing Law

This Agreement shall be governed by the laws of without regards to its conflict of laws principles.

8. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements regarding Confidential Information.
