Real Estate Buyer Non-Disclosure Agreement

This Non-Disclosure Agreement (“Agreement”) is made as of , by and between:

1. Definition of Confidential Information

For purposes of this Agreement, “Confidential Information” includes all information disclosed by the Disclosing Party to the Receiving Party, whether oral, written, visual, or in any other form, relating to the potential purchase of real estate, including but not limited to property details, pricing, financial data, legal documents, and any other proprietary information.

2. Obligations of Receiving Party

1. The Receiving Party agrees to keep all Confidential Information strictly confidential.
2. The Receiving Party shall not disclose any Confidential Information to any third party without prior written consent of the Disclosing Party.
3. The Receiving Party shall not use Confidential Information for any purpose other than evaluating the property for potential purchase.

3. Exclusions

The obligations of this Agreement shall not apply to information that:

• Is or becomes publicly available through no fault of the Receiving Party;
• Is lawfully obtained from a third party without restriction;
• Is independently developed by the Receiving Party without reference to the Confidential Information;
• Is required to be disclosed by law or court order.

4. Term

This Agreement shall remain in effect for a period of years from the date first written above.

5. Return of Information

Upon request, the Receiving Party shall promptly return or destroy all copies of Confidential Information in their possession.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of .

7. Entire Agreement

This Agreement constitutes the entire understanding between the Parties regarding the subject matter and supersedes all prior agreements, representations, or understandings.
