Software Beta Tester Non-Disclosure Agreement (NDA)

This Non-Disclosure Agreement ("Agreement") is made and entered into by and between:

1. Definition of Confidential Information

"Confidential Information" refers to all non-public information disclosed by Company to Beta Tester relating to the beta software, documentation, data, materials, and any other related materials.

2. Obligations of Beta Tester

1. Beta Tester agrees to keep all Confidential Information strictly confidential.
2. Beta Tester will not disclose, reproduce, or discuss Confidential Information with any third party.
3. Beta Tester agrees to use Confidential Information solely for the purpose of testing and evaluating the beta software.

3. Exclusions

This Agreement does not apply to information that:

• Was in Beta Tester's possession prior to receipt from Company;
• Is or becomes publicly available through no fault of Beta Tester;
• Is required to be disclosed by law or court order.

4. Term

This Agreement remains in effect for a period of years from the Effective Date.

5. Return of Materials

Upon request, Beta Tester will return or destroy all materials containing Confidential Information.

6. No License

This Agreement does not grant Beta Tester any rights to Company intellectual property or software except as expressly provided.

7. General

• This Agreement shall be governed by the laws of .
