NDA Agreement for Influencer Collaboration

1. Definition of Confidential Information

For purposes of this Agreement, "Confidential Information" refers to any data or information, oral or written, disclosed by either party to the other that is not generally known to the public and that the receiving party understands is proprietary.

2. Obligations of Receiving Party

1. The receiving party agrees to restrict disclosure of the Confidential Information to employees, agents, or third parties as necessary and only for the disclosed purpose.
2. The receiving party will not disclose, copy, or distribute any Confidential Information without prior written consent from the disclosing party.

3. Exclusions from Confidential Information

The obligations herein do not extend to information that:

• Is or becomes public knowledge through no fault of the receiving party;
• Is already known to the receiving party before disclosure;
• Is received from a third party legally entitled to disclose it;
• Is independently developed by the receiving party without breach of this Agreement.

4. Term

This Agreement and the receiving party’s duty to hold the Confidential Information in confidence remain in effect for years from the Effective Date.

5. Return of Materials

Upon request, the receiving party agrees to promptly return or destroy all documents and materials containing Confidential Information.
