Fashion Influencer Confidentiality Agreement

1. Definition of Confidential Information

For the purposes of this Agreement, "Confidential Information" includes all non-public information, documents, data, financial statements, creative content, business strategies, and any other material provided by the Company to the Influencer, whether in written, verbal, digital, or any other form.

2. Obligations of the Influencer

• To maintain the confidentiality of all Confidential Information received during and after the duration of this engagement.
• To not disclose, in whole or in part, any Confidential Information to any third party without prior written consent from the Company.
• To use Confidential Information solely for the purpose of fulfilling obligations related to the campaign or collaboration specified by the Company.

3. Exclusions

Confidential Information does not include information that:

• Is already known by the Influencer before receipt from the Company;
• Becomes publicly available through no fault of the Influencer;
• Is rightfully received by the Influencer from a third party without breach of any obligation of confidentiality.

4. Term

This Agreement and the Influencer's duty to maintain the confidentiality of the Confidential Information remains in effect for a period of years from the Effective Date, or until such time as all Confidential Information becomes public knowledge other than through a breach of this Agreement.

5. Return of Materials

Upon termination of this Agreement or upon request of the Company, the Influencer shall promptly return or destroy all materials containing Confidential Information.

6. Remedies

The Influencer acknowledges that unauthorized disclosure of Confidential Information may cause irreparable harm to the Company, entitling the Company to seek injunctive or equitable relief.

7. General Provisions

• This Agreement constitutes the complete understanding between the parties regarding confidentiality.
