Real Estate Buyer Confidentiality Agreement

This Confidentiality Agreement (the “Agreement”) is made and entered into as of by and between:

1. Confidential Information

For purposes of this Agreement, "Confidential Information" means all non-public information disclosed by Seller, including but not limited to financial data, property reports, lease information, business operations, marketing materials, and other proprietary information related to the property referenced above.

2. Obligations of Buyer

Buyer agrees to maintain the confidentiality of the Confidential Information and not to disclose it to any third party except as required by law or to Buyer’s representatives who require such information for the purpose of evaluating the acquisition of the property and who agree to keep such information confidential.

3. Exclusions

The obligations of confidentiality shall not apply to information which:

• Was in Buyer’s possession prior to disclosure;
• Is or becomes public knowledge through no fault of the Buyer;
• Is obtained from a third party not bound by any confidentiality obligation.

4. Return of Information

Upon Seller’s request, Buyer will return or destroy all Confidential Information received in connection with this Agreement.

5. No Obligation

Nothing in this Agreement obligates Seller to enter into any further agreement or transaction with Buyer.

6. Term

This Agreement shall remain in effect for a period of years from the date first written above.
