Software Beta Tester Non-Disclosure Agreement
This Software Beta Tester Non-Disclosure Agreement ("Agreement") is made between:
1. Definition of Confidential Information
For purposes of this Agreement, "Confidential Information" means any software, documentation, data, and all related information disclosed to the Tester for beta testing, be it written, oral, or in any other form.
2. Obligations of the Tester
- Tester agrees to use Confidential Information solely for the purposes of testing and evaluating the Software.
- Tester will not disclose, publish, or otherwise reveal any Confidential Information to any third party.
- Tester will protect Confidential Information with reasonable care.
- Tester will promptly notify the Company if any Confidential Information is lost or disclosed.
3. Term
This Agreement and Tester's duty to hold Confidential Information in confidence remain in effect until:
- The Company notifies the Tester that such information is no longer confidential, or
- ___ months from the date of this Agreement.
4. Exclusions from Confidential Information
Confidential Information does not include information that:
- Is already known by the Tester before disclosure by the Company,
- Becomes publicly available other than by breach of this Agreement,
- Is received lawfully from a third party, or
- Is independently developed by the Tester without use of the Confidential Information.
5. Return or Destruction
Upon request, Tester agrees to return or destroy all materials containing Confidential Information.
6. No License
No license or right to use any Confidential Information is granted except as expressly set forth in this Agreement.
