Business Partnership Non-Disclosure Agreement (NDA)

This Non-Disclosure Agreement ("Agreement") is made and entered into as of ("Effective Date"), by and between:

1. Definition of Confidential Information

"Confidential Information" means any non-public information, written, oral or otherwise disclosed by one party to the other, including but not limited to business plans, data, financial information, trade secrets, and other proprietary information.

2. Obligations of Receiving Party

  1. Not to disclose Confidential Information to any third party;
  2. Not to use Confidential Information for any purpose except for the business partnership;
  3. To take reasonable measures to protect the confidentiality of the information.

3. Exclusions

This Agreement does not apply to information that is already known to the receiving party, publicly available, or obtained independently without breach of this Agreement.

4. Term

This Agreement and the obligations herein shall remain in effect for a period of years from the Effective Date.

5. Return of Materials

Upon termination of the partnership or upon request, all Confidential Information and materials must be returned or destroyed.

6. Governing Law

This Agreement shall be governed by the laws of .

7. Miscellaneous

This Agreement constitutes the entire understanding between the parties regarding its subject matter and may only be amended in writing signed by both parties.
