1. Definition of Confidential Information

“Confidential Information” refers to all materials, designs, sketches, patterns, prototypes, techniques, processes, client lists, business strategies, and any other proprietary information disclosed by the Disclosing Party to the Receiving Party, whether in written, oral, digital, or any other form.

2. Obligations of Receiving Party

The Receiving Party agrees to maintain the confidentiality of all Confidential Information and to not disclose, publish, or disseminate it to any third party without the prior written consent of the Disclosing Party. The Receiving Party shall use the Confidential Information solely for the purpose of .

3. Exclusions

This Agreement does not apply to information that:

• Was in the possession of the Receiving Party prior to disclosure;
• Is or becomes publicly available through no fault of the Receiving Party;
• Is received from a third party without breach of any obligation of confidentiality;
• Is independently developed by the Receiving Party without use of Confidential Information.

4. Term
